TERMS OF SERVICE FOR EMPLOYERS – JOBMATCH

1. GENERAL PROVISIONS

These Terms of Service ("Terms") constitute a legally binding agreement between the Employer ("you" or "Employer") and JobMatch (the "Company", "JobMatch", "we", or "us") governing your access to and use of the JobMatch.vn platform, applications, and related services (collectively, the "Services").

By accessing, registering an account, or using the Services in any manner, you acknowledge that you have read, understood, and agreed to be bound by these Terms, as may be amended from time to time.

If you do not agree to these Terms, you must immediately cease all access to and use of the Services.

JobMatch reserves the right, at its sole discretion, to modify or update these Terms at any time to comply with applicable laws, operational requirements, or internal policies. Any amendments shall become effective upon notification through appropriate channels as determined by JobMatch. Continued use of the Services after such effective date constitutes your acceptance of the updated Terms.

2. DEFINITIONS AND INTERPRETATION

For the purposes of these Terms:

  • "Affiliate" means any entity that directly or indirectly controls, is controlled by, or is under common control with a party.
  • "JobMatch Database" means all data stored within the JobMatch system, including but not limited to job postings, Employer information, Job Seeker profiles, and related data.
  • "Profile Database" means the collection of Job Seeker profiles and CVs.
  • "Services" means all services provided by JobMatch from time to time via the JobMatch.vn platform.
  • "User" means any individual or organization accessing or using the Services.
  • "Employer" means any organization or individual using the Services for recruitment purposes.
  • "Job Seeker" means any individual using the Services to search for employment opportunities.
  • "User Content" means all data, information, documents, or materials uploaded, posted, or transmitted by Users on or through the Services.
  • "Applicable Law" means all laws and regulations in force in Vietnam, including but not limited to Decree No. 13/2023/ND-CP on personal data protection.

3. ACCOUNT REGISTRATION AND VERIFICATION

To access certain Services, Employers must register for a corporate account and provide complete, accurate, and up-to-date information as required by JobMatch.

JobMatch reserves the right to request supporting documentation to verify the legal status of the Employer, including but not limited to enterprise registration certificates or equivalent documents.

JobMatch may, at its sole discretion, refuse, suspend, or terminate access to the Services if:

  • the information provided is inaccurate, incomplete, or misleading;
  • there are reasonable grounds to suspect a violation of Applicable Law or these Terms;
  • the Employer's conduct causes or may cause harm to JobMatch or any third party.

The Employer acknowledges that all rights and obligations arising under these Terms are based on the registered account information. JobMatch shall not be liable for any loss or damage arising from inaccurate or misleading information provided by the Employer.

4. ACCOUNT SECURITY

The Employer is solely responsible for maintaining the confidentiality of its login credentials and for all activities conducted under its account.

The account remains the property of JobMatch and may not be assigned, transferred, sublicensed, or otherwise made available to any third party without JobMatch's prior written consent.

JobMatch reserves the right to:

  • require password changes;
  • suspend or terminate accounts;
  • implement necessary security measures,

where there is evidence of unauthorized access, misuse, or breach of these Terms.

The Employer agrees to indemnify and hold harmless JobMatch against any losses or damages arising from failure to comply with account security obligations.

5. EMPLOYER RIGHTS AND OBLIGATIONS

5.1 Rights

The Employer shall have the right to:

  • access and use the Services in accordance with these Terms;
  • access candidate data on a lawful basis and subject to valid consent from the data subject;
  • participate in promotional programs offered by JobMatch;
  • submit feedback to JobMatch.

5.2 Obligations

The Employer agrees and undertakes that:

(a) Compliance with Data Protection Laws

  • to fully comply with Decree No. 13/2023/ND-CP and other Applicable Laws on personal data protection;
  • to process personal data solely for legitimate recruitment purposes;
  • to obtain and be able to demonstrate valid consent from data subjects for any processing beyond the original scope;
  • to comply with all legal requirements relating to cross-border data transfers, if applicable.

(b) Accuracy of Information

  • to ensure that all information posted is accurate, lawful, and not misleading;
  • not to publish false, fraudulent, or harmful information.

(c) Prohibited Conduct

The Employer shall not use the Services to:

  • violate any Applicable Law or engage in fraudulent activities;
  • conduct illegal multi-level marketing or prohibited business activities;
  • publish pornographic, violent, or discriminatory content;
  • unlawfully charge Job Seekers;
  • distribute malware or interfere with system integrity.

(d) Use of Candidate Data

  • to use candidate data strictly for recruitment purposes;
  • not to disclose such data to third parties without valid consent;
  • not to use such data for marketing, resale, or any unauthorized purposes.

(e) Liability

The Employer shall be solely responsible for:

  • all User Content posted;
  • all recruitment activities conducted;
  • any disputes, claims, or complaints arising therefrom.

6. JOBMATCH RIGHTS AND DISCLAIMERS

6.1 Rights of JobMatch

JobMatch reserves the right, at its sole discretion, to:

  • refuse or terminate access to the Services;
  • remove or restrict any User Content;
  • suspend or terminate accounts without refund in case of breach;
  • modify service offerings and pricing;
  • cooperate with competent authorities as required by law.

6.2 Disclaimer of Warranties

To the fullest extent permitted by Applicable Law, the Services are provided on an "as is" and "as available" basis.

JobMatch makes no representations or warranties, express or implied, regarding:

  • the effectiveness of recruitment outcomes;
  • uninterrupted or error-free operation of the Services;
  • the accuracy or reliability of User Content.

6.3 Platform Role

JobMatch acts solely as an intermediary platform connecting Employers and Job Seekers and shall not be responsible for:

  • hiring decisions;
  • User conduct;
  • any damages arising from interactions between Users.

7. PAYMENT SECURITY

All payments are processed through authorized third-party payment service providers.

JobMatch does not store payment card information. All payment data is processed in accordance with applicable security standards by such third parties.

8. INTELLECTUAL PROPERTY

The Employer represents and warrants that it has all necessary rights to the User Content it submits.

The Employer grants JobMatch a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute such content for operational and marketing purposes.

All intellectual property rights in the platform, including software, branding, and system design, are owned by JobMatch.

9. DISCLAIMER

The Employer acknowledges that use of the Services is at its own risk.

JobMatch does not guarantee that:

  • the Services will be free from defects;
  • the Services will be uninterrupted or secure;
  • the Services will meet the Employer's expectations.

10. LIMITATION OF LIABILITY

To the maximum extent permitted by Applicable Law, JobMatch shall not be liable for:

  • indirect, incidental, or consequential damages;
  • loss of profits, revenue, or data;
  • system failures or service interruptions;
  • acts or omissions of third parties.

11. FORCE MAJEURE

JobMatch shall not be liable for any failure or delay in performance due to events beyond its reasonable control, including but not limited to natural disasters, war, epidemics, system failures, or governmental actions.

12. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of Vietnam.

Any dispute arising out of or in connection with these Terms shall first be resolved through good faith negotiations. If such negotiations fail, the dispute shall be submitted to the competent courts of Vietnam.

The Employer agrees to provide sufficient evidence in support of any claim and shall be responsible for the accuracy and legality of such claims.
